Terms of Service
Last updated: September 2026
These Terms of Service (“Terms”) govern access to and use of the Celero Energy marketplace and related services (the “Platform”), operated by Corporación BT (“Celero”, “we”, “us”), a company organised under the laws of Honduras. By creating an account, submitting a project, or otherwise using the Platform, you agree to these Terms. If you are using the Platform on behalf of an organisation, you represent that you are authorised to bind that organisation.
Detailed contractual terms for participation — including introduction rights, success-fee obligations, and anti-circumvention provisions — are set out in the Celero Platform Membership Agreement, which is incorporated into these Terms by reference. Where the Membership Agreement and these Terms conflict, the Membership Agreement controls.
1. Who may use the Platform
The Platform is intended for renewable energy project developers, and for professional and institutional investors and acquirers. It is not directed at retail or consumer users. You must be at least 18 years old and capable of forming a binding contract. Nothing on the Platform is an offer or solicitation to buy or sell any security, nor investment, legal, or tax advice.
2. Accounts
You are responsible for the accuracy of the information you provide, for maintaining the confidentiality of your credentials, and for all activity under your account. Notify us promptly at info@celeroenergy.io of any unauthorised use.
3. Project submissions and scoring
Developers submit project information through the intake form. Celero applies its qualification methodology to produce a Celero Score and status. Scores are an internal assessment tool, are provided “as is”, and do not constitute a valuation, recommendation, or guarantee of financing or sale. You retain ownership of the information you submit and grant Celero a licence to use it to operate the Platform, assess the project, and — for listed projects — present anonymised or named summaries to registered investors.
4. Confidentiality and data rooms
Access to full project materials and data rooms is granted only after an investor registers and accepts the applicable non-disclosure terms. Recipients of confidential information must use it solely to evaluate a potential transaction and must not disclose or misuse it. Access links are personal and must not be shared.
5. Introductions, fees and anti-circumvention
Celero earns a success fee when a transaction closes that was facilitated by or is traceable to a Celero introduction, as described on our fee structure page and in the Membership Agreement. You agree not to circumvent the Platform to avoid fees by transacting off-platform with a counterparty introduced through Celero.
6. Acceptable use
You agree not to submit false or misleading information, infringe third-party rights, upload malicious code, scrape or bulk-export Platform data, attempt to gain unauthorised access, or use the Platform for any unlawful purpose, including sanctions or anti-money-laundering violations.
7. Disclaimers and limitation of liability
The Platform is provided on an “as is” and “as available” basis without warranties of any kind. Celero does not warrant the accuracy of information provided by developers or investors, or that any transaction will result. To the maximum extent permitted by law, Celero’s aggregate liability arising out of or relating to the Platform is limited to the fees you paid to Celero in the twelve months preceding the claim, and Celero is not liable for indirect, incidental, or consequential damages.
8. Termination
You may stop using the Platform at any time. We may suspend or terminate access for breach of these Terms or the Membership Agreement, or where required by law. Provisions that by their nature should survive termination — including fee, confidentiality, and anti-circumvention obligations — survive.
9. Changes
We may update these Terms from time to time. Material changes will be notified through the Platform or by email. Continued use after changes take effect constitutes acceptance.
10. Governing law and contact
These Terms are governed by the laws of Honduras, without regard to conflict-of-laws rules. Questions about these Terms may be sent to info@celeroenergy.io.
